Terms of service

Payment Terms

Payment is due within thirty (30) days of the invoice date ("Net 30"). Invoices are issued by Snowflake on behalf of Provider, acting as Provider's agent for collection pursuant to the Snowflake Marketplace Monetization Offering Terms, following the close of each calendar month billing cycle. Provider's receipt of payment is contingent on Snowflake's collection from Consumer & remittance to Provider in accordance with the applicable Monetization Offering Terms.

Currency

All amounts are stated & payable in U.S. dollars (USD).

Refunds

All amounts are non-refundable except as expressly set forth in these Listing Terms or as required by applicable law. Goodwill credits, if any, are issued at Provider's sole discretion & do not constitute a refund right.

Late Payment

Amounts not paid when due shall accrue interest at the lesser of one & one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the original due date until paid in full. Consumer shall reimburse Provider for all reasonable costs of collection, including reasonable attorneys' fees.

No Set-Off

Consumer shall have no right of set-off, deduction, or counterclaim against amounts owed under these Listing Terms for any reason, except as required by applicable law.

Suspension for Non-Payment

Provider reserves the right to suspend Consumer's access to the Product upon non-payment of undisputed amounts that remain outstanding more than fifteen (15) days past the Payment Period, following written notice to Consumer & a five (5) business day cure period. Suspension under this provision does not relieve Consumer of any payment obligations accrued prior to suspension. For clarity, this provision applies solely to access to the Product & does not affect Consumer's underlying Snowflake Service Agreement.
